5. Client Responsibilities
Clients are responsible for providing accurate, complete and timely information reasonably required for HYTO to perform its services.
Clients remain responsible for:

Approval of strategies and recommendations

Implementation of recommendations unless otherwise agreed

Accuracy of information supplied to HYTO

Compliance with laws applicable to their own business

Obtaining required licences, approvals or professional advice

HYTO may rely on information supplied by a client unless there is a reasonable basis to believe the information is materially inaccurate or incomplete.
6. Third-Party Platforms and Services
HYTO may provide recommendations concerning or work with third-party platforms and services, including advertising platforms, marketplaces, ecommerce platforms, software providers, analytics systems and technology providers.
Third-party platforms operate independently from HYTO.
We do not control their:

Clients grant HYTO the limited rights reasonably necessary to access, use, reproduce, modify or process client-provided materials solely for the purpose of performing agreed services.
Clients represent that they have the necessary rights and permissions to provide such materials to HYTO.
9. Confidentiality
HYTO recognises that consulting engagements may involve confidential business information.
Where a separate confidentiality agreement or non-disclosure agreement exists, that agreement will govern confidentiality obligations.
In the absence of a separate agreement, each party should use reasonable measures to protect confidential information received from the other party and use it only for legitimate purposes connected with the relevant relationship.
Confidential information does not include information that:

Where permitted by applicable law, HYTO's aggregate liability arising from a particular consulting engagement will be limited to the fees actually paid to HYTO for the relevant services during the period specified in the applicable agreement.
Where no specific engagement agreement applies, the maximum liability will, to the extent permitted by applicable law, be limited to the amount paid to HYTO for the specific service giving rise to the claim during the twelve months preceding the event giving rise to the claim.
15. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless HYTO, its personnel, contractors and representatives from claims, losses, liabilities, damages, costs and expenses arising from:

These Terms will be governed by the laws specified in the applicable written agreement between HYTO and the relevant client.
For Website users who are not parties to a separate agreement, the mandatory laws of the jurisdiction applicable to that user will continue to apply where required by law.
Nothing in these Terms is intended to deprive consumers of mandatory rights or protections that cannot lawfully be waived in their jurisdiction.
21. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified or severed to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.
22. No Waiver
Failure by HYTO to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

These Terms, together with the Privacy Policy and any applicable written engagement agreement, constitute the relevant agreement concerning your use of the Website and, where applicable, the services.
